Licensed Work: Sadeem SaaS Package and any related modules, components, scripts, configurations, and documentation distributed under this License (collectively, the "Software").

1. Definitions

1.1 "Licensee" ("you", "your") means the individual or legal entity that has obtained an active Subscription to the Software.

1.2 "Subscription" means a paid, time-limited license granted by Sadeem under one of the available tiers (Starter, Professional, or Partner), as described on https://sadeem.cloud/saas-package.

1.3 "Source Code" means the human-readable form of the Software, including all Python files, XML files, JavaScript, templates, configuration files, documentation, and any other assets distributed by Sadeem under this License.

1.4 "Master Instance" means a single Odoo deployment that runs the Software to manage one or more downstream client databases, subscriptions, or services.

1.5 "Derivative Work" means any modification, adaptation, extension, translation, or work based on the Software.

1.6 "Similar Product" means any product, service, module, or software that provides functionality substantially similar to the Software, including but not limited to: SaaS management platforms for Odoo, Odoo subscription billing systems, Docker-based Odoo deployment automation, DbFilter-based Odoo multi-tenancy systems, and Odoo hosting management tools.

2. Grant of License

Subject to the terms of this License and an active Subscription, Sadeem grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to:

2.1 Access

Access the Source Code through the private GitHub repository or other delivery channel provided by Sadeem.

2.2 Use

Install and operate the Software in both testing/development environments and production environments for your own business or your clients' businesses, on the number of Master Instances permitted by your Subscription tier:

2.3 Modify

Create Derivative Works of the Source Code for your own internal use only, including bug fixes, customizations, and extensions specific to your deployment.

2.4 Receive Updates

Receive updates, bug fixes, security patches, and new versions released by Sadeem during the active term of your Subscription.

3. Restrictions

You shall not, under any circumstances:

3.1 No Redistribution

Redistribute, resell, sublicense, publish, upload to public repositories, share, or otherwise make available the Source Code, the Software, or any Derivative Work to any third party, in whole or in part, in any form (source or binary), whether for free or for a fee.

3.2 No Rebranding

Remove, alter, hide, obscure, or replace any:

  • Copyright notices
  • Trademark notices ("Sadeem", "Sadeem Cloud", logos, marks)
  • License notices
  • Author attributions
  • Branding elements (in code, UI, documentation, or generated outputs)

You shall not present the Software, in whole or in part, as your own product or under a different brand name.

3.3 No Reuse in Competing or Similar Products

Use the Source Code, any portion thereof, or any Derivative Work — including but not limited to algorithms, architectural patterns, data models, business logic, UI designs, or implementation techniques learned from studying the Source Code — to develop, build, contribute to, or assist in the development of any Similar Product, whether for yourself or for any third party.

This restriction applies regardless of whether the resulting product is commercial, open-source, internal, or experimental.

3.4 No Circumvention

Circumvent, disable, or attempt to bypass any license enforcement, instance limit, telemetry, or technical protection mechanism included in the Software.

3.5 No Reverse Engineering for Competing Use

Reverse engineer, decompile, or disassemble the Software for the purpose of creating a Similar Product.

3.6 No Sharing of Access

Share your GitHub access credentials, repository invitation, or any other access mechanism with any person or entity outside your organization. Each Subscription is limited to access by employees and contractors of the Licensee acting on the Licensee's behalf.

3.7 No Exceeding Tier Limits

Operate the Software on more Master Instances than permitted by your Subscription tier. If you need additional Master Instances, you must purchase an Extra Instance add-on or upgrade your tier.

4. Ownership and Intellectual Property

4.1 The Software is licensed, not sold. Sadeem retains all right, title, and interest in and to the Software, including all intellectual property rights.

4.2 No rights are granted to you under this License except those expressly stated in Section 2.

4.3 Any Derivative Work you create remains subject to all the restrictions of this License. You own the modifications themselves but cannot exercise any rights over them that would violate this License (e.g., you cannot publish or redistribute your modifications publicly).

4.4 If you provide Sadeem with feedback, suggestions, or proposed modifications ("Feedback"), Sadeem may use such Feedback without obligation to you.

5. Subscription and Term

5.1 Activation: This License becomes effective when Sadeem grants you access to the Source Code following your Subscription purchase.

5.2 Duration: This License remains in effect for as long as your Subscription is active and you comply with all terms of this License.

5.3 Renewal: Subscriptions may be renewed at Sadeem's then-current pricing. You are not obligated to renew.

5.4 On Subscription Expiration or Non-Renewal:

  • You retain a perpetual right to continue using the last version of the Software you legally accessed during your active Subscription, on the same number of Master Instances permitted by your most recent tier.
  • You lose access to the private GitHub repository.
  • You lose the right to receive any updates, bug fixes, security patches, or new versions.
  • You lose the right to Sadeem's support services.
  • All restrictions in Section 3 continue to apply to any version of the Software in your possession.

5.5 Termination for Breach: Sadeem may terminate this License immediately if you violate any term of this License. Upon termination for breach:

  • All rights granted to you under Section 2 terminate immediately, including the perpetual right described in Section 5.4.
  • You must cease all use of the Software and destroy all copies in your possession.
  • Restrictions in Section 3 continue to apply indefinitely.

6. Audit Right

6.1 Sadeem reserves the right, upon reasonable written notice (no less than 14 days) and no more than once per calendar year, to request reasonable documentation verifying your compliance with the Master Instance limits of your Subscription tier.

6.2 If an audit reveals non-compliance, you agree to either upgrade your Subscription tier or pay for additional Extra Instance add-ons retroactively for the period of non-compliance.

7. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SADEEM DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SADEEM BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES,
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES,

ARISING OUT OF OR RELATING TO YOUR USE OF THE SOFTWARE, EVEN IF SADEEM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SADEEM'S TOTAL CUMULATIVE LIABILITY UNDER THIS LICENSE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SADEEM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Sadeem from any claims, damages, or expenses arising from:

  • Your violation of this License,
  • Your use of the Software in violation of applicable law,
  • Any Derivative Work you create.

10. Governing Law and Disputes

10.1 This License shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law principles.

10.2 Any dispute arising under or in connection with this License shall be resolved by the competent courts of Cairo, Egypt, unless the parties mutually agree to arbitration.

11. General Provisions

11.1 Entire Agreement: This License, together with the Subscription terms and any other documents referenced herein, constitutes the entire agreement between you and Sadeem regarding the Software.

11.2 Severability: If any provision of this License is held to be unenforceable, the remaining provisions shall remain in full force and effect.

11.3 No Waiver: Sadeem's failure to enforce any provision of this License shall not be deemed a waiver of that provision.

11.4 Assignment: You may not assign or transfer this License or any rights hereunder without Sadeem's prior written consent. Sadeem may assign this License freely.

11.5 Amendments: Sadeem may update this License for future versions of the Software. Updated versions of the License will apply to new Subscriptions and renewals, but not retroactively to your current Subscription term.

11.6 Notices: All notices to Sadeem shall be sent to [email protected]. Notices to you will be sent to the email address associated with your Subscription.

12. Acknowledgment

BY ACCESSING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS LICENSE, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.
